By using the services of Venidium, you agree to be bound by the
following terms and conditions. Our services are provided in
accordance with the laws of Dubai, and any disputes arising from
or in connection with our services will be governed by the laws of
Dubai. You are responsible for ensuring that your use of our
services complies with all applicable laws and regulations in your
jurisdiction. We reserve the right to modify these terms and
conditions at any time, and your continued use of our services
following any such modification will constitute your acceptance of
the new terms and conditions.
1. Introduction:
These terms and conditions (the "Terms") govern the use of
Venidium (the "Company") blockchain technology services (the
"Services"). By accessing or using the Services, you agree to be
bound by these Terms. If you do not agree to these Terms, you may
not use the Services.
2. Services:
The Services provided by the Company include, but are not limited
to, the development, implementation, and maintenance of blockchain
technology solutions for various industries, such as finance,
supply chain, healthcare, digital identity, and more. Our services
include the following:
• Web3 Development: We provide customized Web3 development
services to create decentralized applications (dApps), smart
contracts, and other blockchain-based solutions tailored to the
specific needs of our clients.
• Blockchain Platform: We offer a Web3 platform that enables the
development and deployment of blockchain-based projects in a
secure and scalable environment. The platform includes tools and
services such as wallets, exchanges, and developer resources.
• Marketplace: We provide a marketplace for developers and
businesses to monetize their Web3 projects, as well as a platform
for investors to find the best Web3 projects to invest in.
• Consulting and Education: We offer consulting services to help
clients understand and adopt Web3 technologies, as well as
educational resources to increase awareness and understanding of
blockchain technology.
The specific services provided to each client will be outlined in
a separate agreement between the Company and the client. The
client agrees to use the services only in compliance with these
terms and all applicable laws and regulations.
3. Use of the Services:
You may use the Services only in compliance with these Terms and
all applicable laws and regulations. You may not use the Services
in any manner that could damage, disable, overburden, or impair
the Services or interfere with any other party's use of the
Services. You are responsible for maintaining the confidentiality
of your account information and passwords, and you agree to accept
responsibility for all activities that occur under your
account.
4. Intellectual Property:
The Services and all intellectual property rights related to the
Services, including but not limited to, patents, trademarks, trade
secrets, and copyrights, are owned by the Company, except for the
work product created by the company as part of the services that
will be owned by the client. You may not use, copy, modify,
distribute, sell, or transfer any part of the Services without the
prior written consent of the Company.
5. Confidentiality:
All information and materials provided by the Company to you in
connection with the Services, including but not limited to,
confidential information and trade secrets, shall be considered
confidential information. You shall not disclose any confidential
information to any third party without the prior written consent
of the Company.
6.Representations and Warranties:
You represent and warrant that you have the legal right and
authority to enter into these Terms and to use the Services in
accordance with these Terms.
7. Limitation of Liability:
The Company shall not be liable for any damages arising out of or
in connection with the use of the Services, including but not
limited to, indirect, incidental, consequential, special, or
punitive damages, whether based on contract, tort, or any other
legal theory, even if the Company has been advised of the
possibility of such damages. The Company shall not be liable for
damages caused by the loss of use, data or profits, or any
unauthorized access to or alteration of your transmissions or
data, or any other matter arising from, relating to or connected
with the Services.
8. Termination of Services:
The Company reserves the right to terminate the services to the
client at any time, with or without notice, for any reason,
including but not limited to, breach of these terms, request by
law enforcement or government agencies, unexpected technical or
security issues, or discontinuance of the Services.
9. Governing Law and Jurisdiction:
These Terms shall be governed by and construed in accordance with
the laws of the United Arab Emirates, without giving effect to any
principles of conflicts of law. Any disputes arising out of or in
connection with these Terms, including any disputes regarding the
existence, validity, interpretation, performance, or termination
of these Terms, shall be resolved by arbitration in accordance
with the Dubai International Arbitration Centre (DIAC) Rules. The
venue of arbitration shall be Dubai.
